What is the online company registration?

Online company registration is the process of registering a company under the initiative of the Ministry of Corporate Affairs (MCA).

With online company registration, one can register his/her company easily even without stepping out of the house.

One only needs to file an e-form with a self-attested copy of required documents on the MCA portal. But the first and most obvious question that arises here is what type of company registration you wish to get. Documents required for company registration

To obtain the company registration, the applicant is supposed to submit the following documents:

For Indian Nationals-

  • Self-attested copy of PAN cars of all members and directors;
  • Aadhaar card, Election ID card/Passport;
  • Scanned copy of photographs;
  • The latest bank statement which shouldn’t be older than 30 days;
  • Rent agreement on the name of the company;
  • If rented, NOC from the landlord;
  • Electricity or utility bills that must not be older than 30 days.

For Foreign Nationals

  • Attested Passport (mandatorily);
  • Attested Driving license/Residence card;
  • The latest bank statement;
  • A copy of a government issued-form of identification containing address;
  • Passport size photographs;
  • Scanned copy of signature;
  • AoA, MoA/Bylaws of the company shall be apostilled and/or Notarized;
  • Any other documents as requested or required by the Ministry of Corporate Affairs (MCA).

Steps to Online Company Registration

To get the online company registration done without much complication, follow the below-described steps:

Step1: Digital Signature Certificate (DSC)

All the proposed directors and of the private limited company is required to get a digital signature for filing an application for online company registration. Therefore, all the directors are supposed to file for DSC. Once you have obtained the DSC, you can use the same for signing ROC compliance e-forms, and E-Income Tax Returns in the future.

Step2: Apply for name reservation of the company

The second and one of the most essential steps of the company registration is to search a unique name for the company and file an application for the name approval. You can do that same under the RUN (Reserve Unique Name) service, where you can propose a maximum of two names. The ROC (Registrar of Companies) will examine and will try to find if their no existing name with the one you have proposed. If no such name exists, then the proposed company name will be accepted and you will be sent a notification regarding the same.

In case, ROC objects to the proposed name, then you will be given another opportunity to submit the fresh name for the company. 

Step3: Incorporation via SPICe form

A SPICe form or Form INC-32 acts as a single application that provides all the essentials needed for company incorporation such as DIN (Director Identification Number), COI (Certificate of Incorporation), PAN, TAN, CIN (Corporate Identification Number), etc.

Note: Those who already have DIN can use the same DIN for the company incorporation.

By filing SPICe form, the ROC will approve the incorporation if everything sounds correct including the self-attested documents as described above. And you will receive the incorporation certificate.
