Steps to Company Registration in India

There are three simple steps in the way of company registration in India. They are as follows:

Apply for DSC (Digital Signature Certificate)

All proposed Directors, Subscribers, Partners, CA, and CS of the company are supposed to have a digital signature. It is mandatory to obtain the DSC because it will be required at the time of filing the application for company registration online. And, in the future, you can use the same DSC to sign ROC compliance e-forms and E-Income tax returns.

Those who already have the owned digital signature don't need to apply for the new one and can use the same at the time of filing an online application for company registration.

Company name approval

For company registration, you need to ensure that you have chosen a unique company name for your start-up and must send it for approval. You need to make sure that there's no trademark on the same name. After the proper check with the ROC records and IP India; file an application for name approval through RUN (Reserve Unique Name) service to ROC (Registrar of Companies).

File SPICE Form – Simple Form for Incorporating Company

SPICE form is a Simplified Proforma for Incorporating Company Electronically. With the help of SPICE of Form INC-32, the applicant can incorporate a company with a single application for reservation of name, allotment of DIN, PAN, TAN, COI (Certificate of Incorporation), etc. 

SPICE form must be accompanied by supporting documents such as details of all the Directors and subscribers, affidavits, identity proof, affidavits, declarations, MoA (Memorandum of Association), AoA (Article of Association), address proof etc. Once you have filed the e-Form, MCA's Central Processing Centre processes the application. If the form is complete, the company will be registered and the applicant will get CIN (Company Identification Number). Maximum three Directors are allowed to use this form for filing the application of allotment of DIN.

If somebody already has an existing DIN, then he/she doesn't require to apply for the same.

Documents required for Company Registration

  • For online company registration, the applicant must have the scanned copy of the following documents:
  • For Directors and Members (self-attested)
  • PAN card of directors and members
  • Aadhaar card
  • Passport/Election ID card
  • Scanned photographs
  • Latest bank statement not older than 30 days
  • For Registered Office
  • If the property is owned by any of the promoters then a NOC
  • Rent agreement on the name of the company
  • Utility bills (shouldn’t be older than 30 days).
