What is the information and documents required for registration of a company according to the Companies’ Act 2013?

 

According to Section 8- Company Registration, following information and documents are required to be filed with the Registrar of the appropriate jurisdiction:

  1. Memorandum of Association, mentioning the fundamental information of the company example name, state of registered address, object etc in the format of INC-33
  2. Articles of Association, mentioning the regulations for the management of the company in the format of INC-34
  3. The stamp duty to be paid while the Company Registration in Chennai is as notified by the state government in Tamil Nadu. For all companies other than Section 8 companies, following the stamp duty is to be paid during the process of company registration in Chennai:
    1. MoA- Rs. 200
    2. AoA- Rs. 300
  4. A declaration as per the prescribed form by
    1. a person named in the articles as a director, manager or secretary of the company,
    2. an advocate, a chartered accountant or company secretary, who is a part of the formation of the company, and Stating that all the requirements under the Act and prescribed rules regarding registration and that incidental have been duly complied with Formats to the declarations are attached with the SPICe form that is uploaded for the registration of a company.

  1. An affidavit from each of the subscribers to the memorandum and from persons named as the first directors in the AoA declaring that the documents submitted to the Registrar for the purpose of registration of the company are correct and no false information has been provided;
  2. The details as to the registered address or the temporary address of correspondence should be provided;
  3. The complete details of every subscriber to the memorandum must be provided;
  4. Consent of the first directors accepting the said designation and duties that come along in prescribed form has to be submitted.

The Registrar upon submission of the documents and information with SPICe will issue a certificate of incorporation in the prescribed format and allot a Corporate Identity Number (CIN) which will provide the company with a distinct identity.
